Terms of Trade between SOS & Business Centres

  1. FREE REGISTRATION - To register your Business Centre onto the SOS network is absolutely free. There are also no joining or annual membership fees.
  2. NEW CLIENT INTRODUCTIONS - Our effective introduction is made when we pass the details of a Business Centre to an applicant. This introduction is confirmed by way of the SOS email/fax confirmation. In certain circumstances, it may not be possible to confirm our introduction by fax/email, or where an email/fax confirmation cannot be made due to timing purposes or where an email/fax confirmation maybe misplaced, it is important for the Business Centre to understand that an effective introduction may still have been made by SOS. Receipt of the email/fax introduction is a confirmation only and not a qualification that an effective introduction has been made.
  3. NEW CLIENT REJECTION - It is assumed that the Business Centre acknowledges and accepts a new SOS applicant on receipt of our email/fax introduction, unless the email/fax is returned to SOS within forty-eight hours, stating when and which company had already introduced you to the particular applicant. This will avoid any misunderstanding.
  4. NEW CLIENT CONFIRMATION - It is the responsibility of the Business Centre to provide SOS with the applicant's details (start date, rental and company name) when an applicant signs a licence.,/
  5. PRIVACY POLICY - It is understood that any applicant that is introduced to you by SOS is strictly for your use only. The Business Centre can only use the user/applicant's information in relation to offering Business Centre services. It cannot be passed on to a third party, such as another agent/broker or another Business Centre, without the prior approval of SOS and the applicant. The relationships between all parties must be agreed upon by SOS before the applicant details are passed on.
  6. COMMISSION STRUCTURE - When an applicant that we have introduced (vie e-mail, fax or telephone or through a third party), takes occupation or acquires the services of your Business Centre as a result of our introduction, it is the responsibility of the Business Centre to advise SOS in writing, at which time our introductory fees/commission become payable . Our introductory fees are 10% of the inclusive licence fee for a period up to one year. If the client vacates earlier or signs an agreement for less than a year (eg six months) then our fees will be calculated on a pro rata basis. Should the licence fee increase or decrease during the term of the agreement, it is the responsibility of the Business Centre to advise SOS in writing, and our invoices will be adjusted accordingly.
  7. PAYMENT - Settlement of invoices is to be made in advance, monthly, quarterly, six monthly or annually, depending on the circumstances and the terms agreed. All invoices are to be paid by return. Invoices will be issued when the Business Centre confirms to SOS the details of new client transactions.
  8. CHANGE OF OWNERSHIP - In the even that a Business Centre (or an entire group or part of a group of Business Centres) is sold; it is the responsibility of the Business Centre to advise SOS in writing and to ensure the new owners are aware of the future commission payment obligation to SOS. Should this not happen then the remaining commission payments will have to be paid by the original owners (vendors).
